In the application made on behalf of the company’s CEO Sam Altman and other executives, it was stated that Musk tried to take over the company’s non-profit structure with an offer of $ 97.4 billion and that this offer was in fact a ‘fake takeover attempt’.

Lawyer Marc Toberoff, who made a statement on behalf of Musk’s legal team; He says that the offer to return OpenAI to a non-profit structure at the beginning of this year was not taken seriously by the company management.
In the lawsuit filed in February, Elon Musk claimed that OpenAI had moved away from the non-profit model it was founded in 2015 and that it has now evolved into a profit-oriented structure under the claim of public benefit. In 2019, OpenAI switched to a ‘limited profit’ model and is currently in the process of transitioning to public benefit company status.
Musk applied for an injunction to stop this transformation, but this request was rejected by the court in March. The main process of the case will be heard before a jury in the spring of 2026.
OpenAI needs to complete the transformation process in 2025. Otherwise, it may be possible for the company to give up some of the investment capital it has recently obtained. The company management states that the transformation will not weaken the non-profit arm; on the contrary, socially beneficial projects in areas such as health and education will gain momentum.
